Terms of Service

Product: Netacracy Operator: Netacracy, LLC (Dover, Delaware, USA) Version: 2.2.0 Effective: 2026-08-28

You must be 18 or older to use Netacracy. On-chain fees, gas, and Support payments are generally irreversible. We do not hold your keys. These Terms are a binding agreement between you and Netacracy, LLC. They are not legal, tax, or investment advice to you.

1. Agreement

By accessing https://www.netacracy.com (the "Service"), connecting a wallet, creating or viewing an account-like profile, posting, voting, commenting, following, reporting, mining, or sending Support, you agree to these Terms of Service (the "Terms") and our Privacy Policy.

If you do not agree, do not use the Service.

These Terms apply to every visitor, including people who only read the feed. Features that spend tokens or write content also require an in-app acceptance record for the current document version.

2. Eligibility

  • You must be at least 18 years old and able to form a binding contract.
  • You must not be barred from using digital assets or online services under the laws of the United States or your place of residence.
  • You must not be on a U.S. sanctions list (including OFAC) or located in a comprehensively sanctioned jurisdiction.
  • If you use the Service on behalf of an organization, you represent that you have authority to bind it, and "you" includes that organization.

We may ask you to confirm age or eligibility. We may suspend wallets we reasonably believe are used by minors or sanctioned persons.

3. Operator

The Service is owned and operated by Netacracy, LLC, a Delaware limited liability company, Dover, Delaware, United States. "We," "us," and "Netacracy" mean Netacracy, LLC.

4. The Service

Netacracy is a wallet-native social feed. It may include:

  • Posts, comments, media (image, video, audio, files), communities, profiles, follows, mentions, and notifications
  • NCRY micro-fees on Solana for posts, votes, and comments
  • Support payments to creators, with an off-chain split among creator, participation mine, and treasury
  • Mining / claim UI, trophies, search, and moderation tools
  • Solana wallet connection for monetary NCRY (hard-capped SPL token)
  • Links to third-party NCRY–USDC markets when a pool exists

The Service is a public product. Features can change, break, pause, or be reset. NCRY used for fees and mining is the Solana SPL token (hard-capped 10M). It has no guaranteed price, liquidity, or value. A public market is not an offer to sell securities and is not an exchange operated by us.

We do not promise uninterrupted availability, ranking, discovery, or that any post will be seen.

5. Not a bank, broker, custodian, or exchange

  • We are not a bank, broker-dealer, money transmitter (except as a law might later require), investment adviser, or exchange.
  • We do not take custody of your wallets, seed phrases, or private keys.
  • We do not guarantee token price, liquidity, listing, or a public market. Third-party NCRY–USDC markets are not an offer to sell securities.
  • NCRY, SUI, SOL, and similar assets can lose all value. Nothing on the Service is financial, investment, tax, or legal advice.
  • Mining, trophies, and "earnings" are platform mechanics, not wages, not a guaranteed yield, and not an offer of employment.

6. Wallets and blockchain transactions

  • You are solely responsible for your wallet software, device, seed phrase, and keys. Never enter a seed phrase into Netacracy or give it to anyone claiming to represent us. We will never ask for it.
  • Actions you confirm in a wallet create public blockchain records. Fees, gas, and Support transfers are generally irreversible. We cannot reverse Sui or Solana transactions.
  • You must hold enough tokens and gas for actions you start. Failed, stuck, or duplicated transactions, RPC outages, wallet bugs, and congestion are your risk. Gas already burned is usually not recoverable.
  • A fee digest we verify only proves a payment reached the configured treasury under our protocol rules. It is not a refund, escrow, or insurance.
  • Third-party wallets (Phantom, Solflare, and others) are not our products. Their terms and bugs are between you and those vendors.

7. Identity, handles, and impersonation

We identify you primarily by wallet address. Optional handles and avatars are labels, not verified identity.

You must not:

  • Impersonate another person, wallet, brand, or Netacracy
  • Use a handle, avatar, or bio to defraud or confuse others
  • Harvest or leak private information about others (doxxing)

Public profiles, posts, and Support totals are visible to anyone with the link. Treat the feed as public.

8. Your content

You keep whatever rights you already have in content you submit (text, media, files, links, metadata).

You grant Netacracy, LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, moderate, adapt for formatting, and distribute that content as needed to operate, secure, promote, and improve the Service, including backups and caches. This license lasts for as long as the content remains on the Service and for a reasonable period afterward (backups, legal holds, dispute records).

You represent that:

  • You own the content or have permission to post it and to grant this license
  • The content does not infringe others' IP, privacy, or publicity rights
  • The content does not violate these Terms or law

You are responsible for backups of anything you post. We may remove, hide, rate-limit, or refuse content without deleting the underlying blockchain fee.

9. Community rules — prohibited content and conduct

Netacracy is not an adult platform. The following are prohibited. We may remove content, restrict wallets, preserve records, and report to authorities.

Zero tolerance

  • Child sexual abuse material or any sexual content involving minors (anyone under 18), including fictional, AI-generated, or "barely legal" depictions of minors. We will report as required by law.
  • Non-consensual intimate imagery, revenge porn, or sextortion
  • Human trafficking, sexual exploitation, or grooming
  • Terrorist content or true threats of violence
  • Malware, credential stealers, exploit kits, or instructions whose primary purpose is to attack systems or steal keys

Also prohibited

  • Harassment, stalking, hate directed at a person or protected group, or coordinated brigading
  • Scams, phishing, fake giveaways, impersonation-for-fraud, or market manipulation of NCRY
  • Spam, vote manipulation, wash Support, sybil farms, or abusing free-upvote or fee mechanics
  • Copyright or trademark infringement; posting others' work as your own
  • Doxxing, posting private financial or medical data, or non-public personal information
  • Illegal goods or services (including CSAM-adjacent, stolen data, or fraud tools)
  • Sexually explicit content that is not clearly of adults and consensual; we may remove pornography and graphic sexual media to keep the feed usable for a general audience
  • Content that interferes with the Service (excessive load, scraping that degrades it, bypassing bans)

You may disagree with other users. You may not threaten, defraud, or exploit them.

10. Safety tools, reporting, and moderation

Use Report on a post or comment to flag spam, harassment, illegal content, CSAM, scams, copyright issues, malware, doxxing, or impersonation.

We are an interactive computer service. We may (but are not obligated in every case to) review, hide, remove, or refuse content and restrict wallets for any reason we reasonably believe is needed for safety, law, or operations.

  • Reports are reviewed by operators or designated mods. We may not notify you of every outcome.
  • False or abusive reporting may itself be a violation.
  • If you believe you are in immediate danger, contact local emergency services first — Netacracy is not a crisis line.

CSAM and imminent threats may be preserved and referred to law enforcement or the National Center for Missing & Exploited Children (NCMEC) as required.

Bans apply to wallet addresses we specify. Creating new wallets to evade a ban is a further violation.

11. Copyright (DMCA)

If you believe content on the Service infringes your copyright, send a notice to legal@netacracy.com with:

  • Your physical or electronic signature
  • Identification of the copyrighted work
  • Identification of the material and where it appears (URL or post id)
  • Your contact information
  • A statement that you have a good-faith belief the use is not authorized
  • A statement under penalty of perjury that the notice is accurate and that you are the owner or authorized agent

We may remove alleged infringing material and, in appropriate cases, restrict repeat infringers. If your content was removed and you believe that was a mistake, you may send a counter-notice to the same address with the information 17 U.S.C. § 512 requires.

This is a designated channel for copyright. It is not an admission that DMCA safe harbor is the only legal framework that applies.

12. Support, mining, and claims

  • Support is a voluntary payment you send on-chain. The live split (currently targeting 75% creator / 15% mine / 10% ops) is product policy and may change. Displayed USD amounts are estimates until a live market price exists.
  • We are not a party to your patronage of a creator except as operator of the ledger and treasury routing described in-product.
  • Mining accrues only under then-current protocol rules. Claim payouts can fail, delay, or require a later manual process. Claimable balances are not deposits.
  • You are responsible for any taxes on Support received, mining claims, or token appreciation. We do not issue tax advice or, unless required, information returns.
  • You cannot Support your own post. Circumventing that rule is abuse.

13. Fees and refunds

Post, vote, comment, and Support fees paid on-chain are final. We do not refund NCRY or gas because you changed your mind, mistyped, lost a key, disliked a moderation decision, or experienced wallet or network failure.

If we independently decide to credit a user off-chain, that is a courtesy, not a right.

14. Acceptable technical use

You may not:

  • Probe, scan, or attack the Service except through a coordinated disclosure to legal@netacracy.com
  • Bypass rate limits, bans, or fee verification
  • Use automation that impersonates a person to spam, farm free upvotes, or drain treasuries
  • Misrepresent fee transactions or replay another user's digest
  • Reverse engineer in order to attack users or the treasury

A good-faith security report to legal@netacracy.com is welcome. Do not exfiltrate user data or funds "to prove" a bug.

15. Third-party services

The Service relies on Vercel (hosting/analytics), Supabase (database and storage when configured), public or private blockchain RPCs, and wallet extensions. Those parties have their own terms. Outages or policy changes there can affect Netacracy.

Links, mentions, and user-posted URLs are not endorsements.

16. Suspension and termination

We may suspend or terminate access (including blocking wallets and hiding content) for violations, legal risk, unpaid abuse of infrastructure, or to protect users.

You may stop using the Service at any time. On-chain history remains on the relevant network. Off-chain content may remain as needed for safety, legal, and backup purposes as described in the Privacy Policy.

Sections that by nature should survive (including 5–9, 11–13, 17–21) survive termination.

17. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • Content is accurate, lawful, or safe to follow
  • Tokens have value or that claims will pay
  • The Service is error-free, secure against every attack, or available at all times
  • User-generated content is suitable for you

You use wallets, networks, and other users' content at your own risk.

18. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETACRACY, LLC AND ITS MEMBERS, OFFICERS, CONTRACTORS, AND MODS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST TOKENS, LOST KEYS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNTS YOU PAID TO US (NOT TO OTHER USERS) FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.

Some places do not allow these limits. In those places, our liability is limited to the maximum permitted. Nothing here limits liability that cannot be limited (for example, our own willful misconduct where the law forbids a waiver).

19. Indemnification

You will defend, indemnify, and hold harmless Netacracy, LLC and its people from claims, damages, and reasonable legal fees arising from: (a) your content; (b) your use of the Service; (c) your wallets or transactions; (d) your violation of these Terms or law; or (e) your infringement of someone else's rights. We may assume exclusive defense at your expense.

20. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules.

You and we agree to the exclusive jurisdiction of state or federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction to protect users, the Service, or IP, and you may bring an eligible claim in small-claims court in your county.

Informal resolution first: email legal@netacracy.com and wait 30 days before filing, unless the claim involves CSAM, imminent harm, or a statute that forbids a waiting period.

21. Changes

We may update these Terms. The in-app version number and content hash are the source of truth. Material changes get a new version. Continued use after the new effective date, or checking the in-app agreement, is acceptance.

If you do not agree to a new version, stop using the Service.

22. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement about the Service.
  • Severability. If a clause is unenforceable, the rest remains.
  • No waiver. Failure to enforce is not a waiver.
  • Assignment. You may not assign these Terms. We may assign them in connection with a reorganization or sale of assets.
  • No third-party beneficiaries except indemnified parties.
  • Force majeure. We are not liable for delays caused by networks, vendors, law, or events beyond reasonable control.
  • Language. English controls.
